By accessing our website or engaging our Services, you agree to be bound by these Terms. If you disagree with any part, you may not access our Services.
The Prosoura Service Model
Prosoura operates as a sourcing agent and service provider. We facilitate the procurement, quality control, and logistics of customized promotional products on your behalf. We are not the direct manufacturer of the products.
Account Registration
You may be required to register an account to access certain Services. You are responsible for maintaining the confidentiality of your account information and for all activities under your account.
Subscription and Pricing Model
Subscription Fee: Access to our core sourcing services and transparent pricing is provided through a subscription plan. Fees are billed in advance on a recurring basis (e.g., monthly/annually).
Transparent Pricing: Our unique model means we do not add margins to factory quotations. You pay the factory price plus agreed-upon service fees. The subscription fee grants you access to this model.
No Refund for Subscription: Subscription fees are non-refundable, and your subscription will auto-renew until cancelled.
Cancellation: You may cancel your subscription at any time through your account settings, effective at the end of your current billing cycle.
Orders and Pricing
- All quotations are valid for 30 days unless otherwise stated.
- A binding contract is formed only upon our written order confirmation.
- We reserve the right to adjust prices if there are changes in raw material costs or exchange rates between quotation and order confirmation.
Intellectual Property
- You retain all intellectual property rights to the designs, logos, and artwork you provide to us.
- You warrant that you have the right to use any intellectual property you provide and will indemnify Prosoura against any third-party claims of infringement.
Limitation of Liability
To the fullest extent permitted by law, Prosoura’s total liability to you for any claim arising from these Terms or our Services shall be limited to the total subscription fees paid by you in the six (6) months preceding the event giving rise to the claim. In no event shall Prosoura be liable for any indirect, punitive, incidental, or consequential damages.
Shipping and Delivery
- All delivery dates provided are estimates only. We are not liable for delays caused by factors beyond our reasonable control, including but not limited to customs delays, weather, or logistics carrier issues.
- The risk of loss and title for products passes to you upon our delivery to the carrier.
Returns and Refunds
Our policy regarding returns and refunds is detailed in our separate Refund and Return Policy, which is incorporated into these Terms by reference. Please review that policy carefully.
Termination
We may suspend or terminate your account and access to our Services if you breach these Terms. You may terminate your account at any time.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Hong Kong Special Administrative Region. Any dispute arising from these Terms shall be first attempted to be resolved through friendly negotiation. If negotiation fails, it shall be submitted to the Hong Kong International Arbitration Centre for arbitration.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the “Last Updated” date. Continued use of our Services after such changes constitutes your acceptance of the new Terms.
